Master Terms & Conditions (Global Agreement)

Effective Date: April 10, 2026

These Master Terms & Conditions (“Agreement”) constitute a legally binding agreement between FIBERME Communications LLC (“FIBERME”, “Company”, “we”, “us”) and any individual or entity (“User”, “Customer”, “you”) accessing or using any FIBERME services.

This Agreement governs all services, platforms, software, and infrastructure provided by FIBERME.

Scope of agreement #

This Agreement applies to all FIBERME services, including but not limited to:

  • www.fiberme.com
  • www.fiberme.cloud
  • all subdomains thereof
  • FRC (FIBERME Remote Connect)
  • SWING and SWING Lite applications
  • NEXUSAGE software
  • all VoIP, SIP, and cloud telecom services
  • APIs, dashboards, portals, and integrations

By using any FIBERME service, you agree to be bound by this Agreement.

Privacy & data policy #

1. FIBERME may collect technical, operational, and usage data including:

  • email address and account information
  • Call Detail Records (CDR)
  • IP addresses and device information
  • software usage analytics and logs

2. Data is used solely for:

  • service delivery and operation
  • billing and account management
  • fraud prevention and security
  • system optimization and compliance

3. FIBERME does NOT sell user data to any third party.

Acceptable use policy (AUP) #

Users agree not to use FIBERME services for any unlawful, abusive, or prohibited activities, including but not limited to:

  • spam or unsolicited communications
  • fraud, phishing, or deception
  • CLI spoofing or manipulation
  • VoIP bypass fraud
  • SIM box or GSM gateway abuse
  • IRSF (International Revenue Share Fraud)
  • traffic pumping or artificial call generation
  • unauthorized interception or monitoring
  • malware, hacking, or intrusion attempts

1. Telecom Abuse Prohibition

Strictly prohibited activities include:

  • artificial traffic inflation
  • premium number abuse
  • unauthorized routing or termination
  • bulk unsolicited VoIP traffic

2. Enforcement

FIBERME reserves the right to:

  • immediately suspend or terminate accounts
  • block SIP trunks, IPs, or destinations globally
  • permanently restrict service access

Billing & subscription terms #

1. All payments are made directly to FIBERME Communications LLC.

2. No third-party payment provider governs billing logic or service entitlement.

3. FIBERME reserves the right to:

  • modify pricing at any time
  • change subscription plans or billing structures
  • introduce new fees or usage models

4. Usage records and system logs are final, binding, and conclusive.

No refund policy #

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.

No refunds, credits, or compensation shall be provided under any circumstances, including but not limited to:

  • service suspension
  • account termination
  • feature removal or modification
  • service unavailability

FRC SLA (FIBERME Remote Connect) #

1. FRC is designed with a target uptime of 99%, measured on a monthly basis.

2. This uptime is a target only and not a legally binding guarantee.

3. FIBERME shall not be liable for any:

  • service outages
  • latency or delays
  • call failures or interruptions
  • carrier or network disruptions

4. No compensation, credits, or refunds shall be provided for any downtime.

FRC service policy #

1. FRC is a cloud-based VoIP and SIP connectivity platform.

2. FIBERME may provide free services including:

  • free calls
  • trial usage
  • promotional credits or features

3. FIBERME reserves the absolute right to:

  • modify or discontinue free services at any time
  • restrict or remove features without notice
  • terminate free access permanently

Software license terms #

1. SWING / SWING LITE

  • Free to download, install, and use (limited features)
  • Licensed on a non-exclusive, non-transferable basis

FIBERME may at any time:

  • update, modify, or remove features
  • disable or discontinue software
  • restrict access per user or globally

No warranty is provided for performance, uptime, or compatibility.

2. NEXUSAGE SOFTWARE

  • Free base version with optional paid advanced features

FIBERME may:

  • modify functionality at any time
  • disable features or services
  • discontinue the software entirely

Free FRC-related benefits may be revoked at any time without notice.

Account management (fiberme.cloud) #

1. Free account registration may be provided.

2. FIBERME reserves the right to:

  • suspend or terminate accounts at any time
  • block users without notice or justification
  • restrict access to any service or feature

3. No compensation shall be provided for account loss or restriction.

Project protection system #

FIBERME may operate a project management and protection system via fiberme.cloud.

FIBERME reserves full discretion to:

  • accept or reject any project
  • cancel or modify projects at any time
  • block or suspend users
  • terminate accounts without explanation

Telecom compliance & fraud control #

FIBERME enforces strict telecom compliance measures including:

  • fraud detection and monitoring
  • SIP anomaly detection systems
  • traffic pattern analysis
  • global abuse prevention mechanisms

FIBERME may report any suspicious or illegal activity to:

  • telecom operators
  • regulatory authorities
  • law enforcement agencies

Global service control rights #

FIBERME reserves full global control rights to:

  • modify or discontinue any service or software
  • restrict services by country or region
  • suspend or terminate access at any time
  • change features, functionality, or availability without notice

FRC availability and country-specific restrictions #

FRC (FIBERME Remote Connect) is a cloud-based service provided by FIBERME to support customers’ remote business communications and connectivity requirements. However, the availability, accessibility, quality, and continued operation of FRC may be affected by the laws, regulations, telecommunications policies, licensing requirements, government decisions, or actions of network operators in the customer’s country or region.

Certain countries may restrict, block, prohibit, suspend, or otherwise regulate cloud communication, VoIP, SIP, remote connectivity, or similar services. Such restrictions may be imposed or enforced at any time and may affect the availability, functionality, quality, or accessibility of FRC in a particular country or region.

To the maximum extent permitted by applicable law, FIBERME shall not be responsible or liable for any suspension, restriction, blocking, interruption, degradation, unavailability, or termination of FRC in any country or region where such event results from local laws, regulations, regulatory requirements, government decisions, telecommunications policies, actions of network operators, or any other circumstances beyond FIBERME’s reasonable control.

The Customer is solely responsible for ensuring that its use of FRC complies with all applicable laws, regulations, licensing requirements, and telecommunications policies in the countries where the service is accessed or used. FIBERME does not warrant or guarantee that FRC will be legally permitted, continuously available, or operational in every country or region.

Limitation of liability #

To the maximum extent permitted by law, FIBERME shall not be liable for any:

  • business or revenue loss
  • data loss or corruption
  • service interruption or failure
  • communication errors
  • indirect, incidental, or consequential damages
  • third-party carrier or network failures

Intellectual property #

All software, systems, infrastructure, branding, and technology remain the exclusive property of FIBERME Communications LLC.

No rights are granted except those explicitly stated in this Agreement.

Governing law #

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, and optionally the State of Delaware, without regard to conflict of law principles.

All disputes shall be exclusively resolved in the courts of the United States.

Modification of terms #

FIBERME reserves the right to modify, update, or replace this Agreement at any time without prior notice.

Continued use of any FIBERME service constitutes full acceptance of the updated Terms.

Call recording & voice content #

1. FIBERME does not record, store, or retain the voice content of any calls made or received through its platforms and services. Only technical and logs information such as Call Detail Records (CDR) may be stored.

2. Any call recording features, if enabled by the Customer on their own systems or third‑party solutions, are fully controlled by the Customer and are outside the scope of FIBERME’s responsibility.

Final acknowledgement #

By accessing or using any FIBERME service, you acknowledge that:

  • services may be modified or discontinued at any time
  • accounts may be suspended without notice
  • free services are not guaranteed
  • use is at your own risk
  • FIBERME maintains full operational control over all system.

1. Agreement and acceptance #

These Terms and Conditions (“Agreement”) constitute a binding legal agreement between FIBERME Communications LLC (“FIBERME,” “Company,” “we,” “us,” or “our”) and the individual or entity accessing, using, or purchasing products and services from FIBERME (“Customer,” “User,” “you,” or “your”).

By accessing, browsing, or using any FIBERME website (including but not limited to www.fiberme.com and www.fiberme.cloud) or purchasing any FIBERME products or services, you acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions in their entirety. If you do not agree to these terms, please do not use our websites or services.

FIBERME reserves the right to modify these Terms and Conditions at any time without prior notice. Continued use of FIBERME websites, products, or services following any modifications constitutes your acceptance of the updated terms. It is your responsibility to review these Terms and Conditions periodically for changes.

2. Products and services #

2.1 Hardware Products

FIBERME manufactures and distributes enterprise-grade VoIP and unified communications hardware products, including but not limited to:

  • IP Phones (including FAP2714, FAP2733, and similar models)
  • IP PBX Systems (including FCM7030, FCM5600, and similar models)
  • FXO Gateways
  • FXS Gateways
  • E1 Gateways
  • GSM Gateways
  • Call Center Headsets
  • Business Bluetooth Headsets
  • Other VoIP and unified communications equipment

All hardware products are manufactured to the highest quality standards and are designed for enterprise deployment across various business sectors.

2.2 Software and Cloud Services

FIBERME provides the following software and cloud-based services:

FRC (FIBERME Remote Connect): A cloud-based remote access solution enabling secure remote registration and connectivity for IP PBX systems.

FCM Soft: Call Manager software providing call management functionality with configurable limitations on local and remote concurrent calls based on subscription level.

SWai: An artificial intelligence service providing voice and communication intelligence capabilities.

NEXUSAGE: Software solution enabling integration of third-party SIP PBX systems with FIBERME cloud infrastructure for remote registration functionality.

3. Hardware warranty and RMA process #

3.1 Warranty Coverage

All FIBERME hardware products include limited warranty protection. Warranty periods vary by product model and are specified at the time of purchase and in the product documentation. Warranty duration is model-specific and is determined solely by FIBERME.

3.2 Warranty Limitations

Warranty coverage is limited to:

  • Manufacturing defects in materials and workmanship
  • Failure under normal use conditions
  • Defects identified during the active warranty period

Warranty does NOT cover:

  • Damage resulting from improper installation, use, or maintenance
  • Damage from power surges, electrical problems, or environmental factors
  • Damage from unauthorized modifications or repairs
  • Damage from accidents, misuse, or negligence
  • Normal wear and tear
  • Cosmetic damage that does not affect functionality

3.3 Return Merchandise Authorization (RMA)

FIBERME provides Return Merchandise Authorization (RMA) warranty service for defective hardware during the active warranty period only. The RMA process operates as follows:

  • Customer must contact FIBERME Technical Team to request evaluation of the allegedly defective hardware
  • FIBERME Technical Team will assess the hardware and determine whether the defect qualifies for RMA coverage
  • RMA coverage is provided only upon written approval from FIBERME Technical Team
  • RMA service must be coordinated through an authorized local distributor of FIBERME in your region
  • FIBERME will not provide RMA services for hardware outside the active warranty period
  • RMA does not include shipping costs unless explicitly stated in writing by FIBERME

3.4 Warranty Disclaimer

EXCEPT AS EXPRESSLY PROVIDED IN THIS SECTION, FIBERME MAKES NO OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING ANY IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. FIBERME DISCLAIMS ANY WARRANTY THAT HARDWARE WILL BE ERROR-FREE OR UNINTERRUPTED.

4. FRC (FIBERME Remote Connect) terms #

4.1 Free FRC Service Tier

FIBERME provides complimentary FRC service with the following limitations:

  • Hardware Users: Customers using FIBERME IP PBX hardware receive 2 free remote concurrent calls
  • Software Users: Customers using FCM Soft or NEXUSAGE receive 1 free remote concurrent call
  • Free service includes remote access functionality only; additional features may require paid subscriptions

4.2 Free Service Modifications

FIBERME reserves the right to modify, reduce, or eliminate the number of free remote concurrent calls at any time without prior notice to customers. Such modifications may be implemented immediately and without compensation or alternative options.

4.3 Paid FRC Plans

#### 4.3.1 Plan Availability and Eligibility

Paid FRC plans are available for purchase through FIBERME websites. Paid plans are compatible with:

  • FIBERME FCM5600 Series IP PBX hardware
  • FIBERME FCM7000 Series IP PBX hardware
  • FCM Soft software, and NEXUSAGE

Paid plans are NOT compatible with other hardware or software systems.

#### 4.3.2 Plan Structure and Subscription Tiers

All FRC paid plans are structured in four subscription tiers:

  • 1 Month
  • 3 Months
  • 6 Months
  • 12 Months

Upon initial subscription, the customer must select the appropriate tier. The subscription tier cannot be changed after subscription commences. Tier changes are only permitted after the subscription expires; the customer may select a different tier upon renewal.

#### 4.3.3 Plan Downgrades

If a customer fails to renew an expiring paid FRC plan, the account will be automatically downgraded to the applicable free FRC service tier as described in Section 4.1.

#### 4.3.4 Plan Renewals and Upgrades

Customers may renew expiring paid plans at any time using the same subscription tier. Customers may also upgrade to a higher-tier plan at any time; in such cases, FIBERME will calculate a prorated charge for the remaining portion of the original subscription period, and the customer will pay only the difference between the old and new plan pricing.

#### 4.3.5 Plan Pricing and Modifications

  • All plan prices are displayed in US Dollars (USD) on FIBERME websites
  • Billing and payment collection occur in United Arab Emirates Dirhams (AED)
  • FIBERME reserves the right to modify plan pricing, concurrent call allocations, or plan features at any time without prior notice
  • Existing customers with active paid plans may continue service under their existing terms until the subscription expiration date
  • Upon renewal, updated pricing and terms will apply
  • Customers who do not wish to accept updated pricing or terms may allow their subscription to expire without renewal

4.4 Pricing, Fees, and Payment Terms

#### 4.4.1 Currency and Payment Processing

  • FRC plans are priced in USD but charged in AED at FIBERME’s current conversion rate
  • FIBERME may assess online payment processing fees of 2% to 4% on all transactions
  • All payments must be made through FIBERME’s authorized payment processors
  • Payment is non-refundable once processed

#### 4.4.2 Value-Added Tax (VAT)

  • Customers located within the United Arab Emirates are subject to applicable VAT
  • VAT will be calculated and added to the final invoice amount
  • FIBERME is responsible for remitting VAT to appropriate authorities

#### 4.4.3 No Refunds

FIBERME will not provide refunds or credits for FRC service fees under any circumstances, including but not limited to:

  • Service suspension or downtime
  • Service cancellation
  • Change of plans or tiers
  • Customer dissatisfaction with service quality
  • Non-use of allocated remote concurrent calls

4.5 Service Availability and Maintenance

#### 4.5.1 Uptime Guarantee

FIBERME guarantees that FRC service will maintain 99% uptime and availability over any calendar month period, calculated as the percentage of time the service is operational and accessible.

#### 4.5.2 Maintenance and Upgrades

Notwithstanding the uptime guarantee, FIBERME reserves the right to suspend or interrupt FRC service at any time for:

  • Scheduled maintenance
  • System upgrades
  • Implementation of new features
  • Security patches
  • Infrastructure improvements

FIBERME will provide email notification to all affected customers prior to any planned temporary service suspension, when operationally feasible.

#### 4.5.3 Unscheduled Outages

FIBERME will make commercially reasonable efforts to restore service following any unscheduled outages. FIBERME shall not be liable for any damages, losses, or costs incurred during service interruptions.

4.6 Service Suspension and Termination

FIBERME reserves the right to suspend or terminate FRC service for any user or customer at any time, for any reason or without reason, including but not limited to:

  • Suspected illegal use of the service
  • Violation of these Terms and Conditions
  • Non-payment of service fees
  • Use of service in violation of applicable law
  • Detection of unauthorized access or account compromise
  • Use of service for purposes other than those authorized in the product documentation

Service suspension may be immediate and without prior notice in cases where FIBERME determines that continued service operation poses a security or legal risk.

4.7 Subscription Month Definition

For all FRC service billing purposes, one (1) subscription month is defined as a period of thirty (30) calendar days, regardless of the calendar month in which the subscription begins or ends.

5. FCM Soft (Call Manager software) terms #

5.1 Free FCM Soft Version

FCM Soft is available as a free software download and installation on customer systems. The free version includes limitations on:

  • Local concurrent calls
  • Remote concurrent calls
  • Number of users

These limitations are designed to allow evaluation and small-scale deployment.

5.2 Paid FCM Soft Subscriptions

#### 5.2.1 Purpose and Scope

Paid FCM Soft subscriptions permit customers to increase local concurrent calls, remote concurrent calls, and user capacity beyond the free version limitations. Subscription details and pricing are published on FIBERME websites.

#### 5.2.2 Licensing and Installation

  • FCM Soft paid subscriptions are licensed on a per-service or per-virtual machine (VM) basis
  • Each paid subscription is valid for one (1) dedicated service instance or VM only
  • FIBERME reserves the right to immediately terminate any subscription if evidence indicates the subscription is being used simultaneously across multiple devices or service instances

#### 5.2.3 One-Time Fee Structure

FCM Soft paid subscriptions are charged as a one-time fee for lifetime access to the specific service instance or VM on which the subscription is activated. This fee is non-refundable and non-transferable.

#### 5.2.4 Software Versions and Updates

  • FCM Soft paid subscription grants access to the current software version existing on the subscription date
  • Customers receive automatic access to bug fixes and security patches for the current version
  • New firmware releases, major version upgrades, and new features released after the subscription date are NOT included with the one-time subscription fee
  • To access new versions, features, or firmware releases, the customer must purchase a separate paid support plan

#### 5.2.5 Paid Support Plan

  • Customers wishing to receive new versions, features, and firmware updates beyond the subscription date must purchase an optional paid support plan
  • Support plan pricing is calculated from the subscription date
  • Support plan details are available on FIBERME websites
  • Support plans provide access to all current and future versions, features, and firmware released during the support plan period

#### 5.2.6 Plan Modification

FIBERME reserves the right to modify FCM Soft plan pricing, included features, or plan structure at any time without prior notice. Modifications apply to new subscriptions only; existing paid subscriptions will continue under their original terms indefinitely.

6. SWAI (artificial intelligence service) terms #

6.1 Service Description

SWai is a monthly subscription-based artificial intelligence service providing advanced voice and communication processing capabilities.

6.2 Paid Plans and Pricing

All SWai pricing and plan options are published on FIBERME websites. Pricing is subject to change at any time.

6.3 Subscription Period and Renewal

  • SWai plans are offered on a monthly basis
  • Each month is calculated as a period of thirty (30) calendar days from the subscription start date
  • Subscriptions automatically renew on a monthly basis unless cancelled by the customer
  • The customer is responsible for cancelling subscriptions to prevent automatic renewal

6.4 Usage Allowances

#### 6.4.1 Minutes Allocation

Each SWai plan includes:

  • A main package allocation of usage minutes per calendar month
  • Optional add-on minutes available for purchase

#### 6.4.2 Monthly Minute Expiration

  • Unused minutes from the main package do NOT carry over to the following month
  • Unused main package minutes are forfeited upon the end of each subscription month
  • Add-on minutes are NOT subject to monthly expiration and will remain available until the specified add-on expiration date

#### 6.4.3 Usage Priority

SWai service will consume minutes in the following order:

1. Main package minutes (until exhausted)

2. Add-on minutes (in the order of add-on purchase date)

#### 6.4.4 Service Suspension When Minutes Exhausted

Once all main package minutes and all add-on minutes have been fully consumed, the service will be unavailable until:

  • A new monthly subscription period commences and new minutes are allocated, or
  • The customer purchases additional add-on minutes

6.5 Plan Modifications

FIBERME reserves the right to modify SWai plan pricing, included minutes, features, or plan structure at any time without prior notice to customers. Modifications apply to new subscriptions and renewals; existing active subscriptions will continue under their existing terms until the next renewal date.

7. NEXUSAGE terms #

7.1 Service Description

NEXUSAGE is software enabling third-party SIP PBX systems to integrate with FIBERME cloud infrastructure, providing remote registration and connectivity functionality comparable to FRC service.

7.2 Free Version

NEXUSAGE is available as free software for download and installation on customer servers or virtual machines (VMs). The free version includes limitations on remote concurrent calls.

7.3 Paid Plans

#### 7.3.1 Plan Structure and Pricing

NEXUSAGE paid plans follow the same pricing structure, terms, and conditions as FRC paid plans as detailed in Section 4 of these Terms and Conditions, including:

  • Four subscription tiers (1 Month, 3 Months, 6 Months, 12 Months)
  • Tier selection at initial subscription; tier changes only upon expiration and non-renewal
  • Pricing in USD with billing in AED
  • Online payment processing fees of 2-4%
  • VAT assessment for customers in the United Arab Emirates
  • No refunds under any circumstances
  • 99% uptime guarantee
  • FIBERME’s right to modify plans without notice

#### 7.3.2 Plan Compatibility

NEXUSAGE paid plans are compatible with third-party SIP PBX systems and FIBERME-provided IP PBX software.

#### 7.3.3 Service Terms

All provisions regarding service suspension, maintenance, non-payment, and illegal use set forth in Section 4 of these Terms and Conditions apply equally to NEXUSAGE service.

8. Intellectual property rights #

8.1 Ownership

All FIBERME products, software, services, websites, documentation, trademarks, logos, and other intellectual property are owned exclusively by FIBERME or licensed from third parties. Customer’s use of these items does not grant any ownership rights to Customer.

8.2 Limited License

FIBERME grants you a limited, non-exclusive, non-transferable, revocable license to use FIBERME products and services solely for your internal business purposes in accordance with these Terms and Conditions.

8.3 Restrictions

You may not:

  • Reverse-engineer, decompile, or attempt to derive source code from any FIBERME software
  • Modify, adapt, translate, or create derivative works based on FIBERME products or services
  • Rent, lease, loan, or lend FIBERME software or services
  • Resell or distribute FIBERME products or services except through authorized FIBERME channels
  • Remove or alter any proprietary notices, labels, or marks

9. Acceptable use policy #

9.1 Prohibited Activities

You agree not to use FIBERME products or services for any unlawful, abusive, or unethical purposes, including but not limited to:

  • Illegal activities or fraud
  • Harassment, threats, or abuse
  • Transmitting malware, viruses, or harmful code
  • Unauthorized access to systems or data
  • Spam, phishing, or social engineering attacks
  • Copyright or trademark infringement
  • Export control violations
  • Circumventing security measures
  • Denial-of-service attacks
  • Any activity violating applicable laws or regulations

9.2 Monitoring and Enforcement

FIBERME reserves the right to monitor usage patterns for compliance with this policy. Upon detection of prohibited activities, FIBERME may immediately suspend or terminate service without liability.

10. Disclaimer of warranties #

EXCEPT AS EXPRESSLY PROVIDED IN SECTION 3 (HARDWARE WARRANTY), FIBERME DISCLAIMS ALL OTHER WARRANTIES, EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT
  • WARRANTIES REGARDING UNINTERRUPTED OR ERROR-FREE SERVICE
  • WARRANTIES REGARDING THE SECURITY, RELIABILITY, OR AVAILABILITY OF PRODUCTS OR SERVICES

FIBERME products and services are provided “AS IS” without warranty or condition of any kind. Use is at your sole risk.

11. Limitation of liability #

11.1 Limitation on Damages

EXCEPT FOR FIBERME’S INDEMNIFICATION OBLIGATIONS, TO THE MAXIMUM EXTENT PERMITTED BY LAW, FIBERME SHALL NOT BE LIABLE FOR:

  • INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • LOST PROFITS, LOST REVENUE, OR LOST BUSINESS OPPORTUNITIES
  • DATA LOSS OR CORRUPTION
  • BUSINESS INTERRUPTION
  • LOSS OF GOODWILL OR REPUTATION

This applies even if FIBERME has been advised of the possibility of such damages.

11.2 Liability Cap

FIBERME’s total liability arising from or related to these Terms and Conditions, FIBERME products, or FIBERME services shall not exceed the amount paid by Customer to FIBERME in the twelve (12) months immediately preceding the claim, or $100 USD, whichever is greater.

11.3 Essential Term

You acknowledge that the disclaimers in Section 10 and the limitations in this Section 11 are essential terms of these Terms and Conditions, and that FIBERME would not provide products or services without these protections.

12. Indemnification #

You agree to indemnify, defend, and hold harmless FIBERME and its officers, directors, employees, and agents from any and all claims, damages, losses, costs, and expenses (including reasonable attorneys’ fees) arising from or related to:

  • Your violation of these Terms and Conditions
  • Your use of FIBERME products or services in violation of applicable law
  • Your infringement of any third-party intellectual property rights
  • Your unauthorized use or disclosure of FIBERME products or services
  • Claims by third parties related to your use of FIBERME products or services

13. Data protection and privacy #

FIBERME collects, processes, and retains certain customer data in connection with the provision of products and services. For detailed information regarding data collection, processing, use, and protection, please refer to FIBERME’s Privacy Policy.

14. Dispute resolution #

14.1 Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the United Arab Emirates, without regard to its conflict-of-law principles.

14.2 Jurisdiction and Venue

You agree that:

  • Any legal proceeding or dispute shall be exclusively resolved in the courts located within the United Arab Emirates
  • You irrevocably consent to the jurisdiction and venue of such courts
  • You waive any objection to venue or claim of inconvenient forum

14.3 Dispute Resolution Process

Before initiating legal proceedings, the parties agree to attempt to resolve disputes through good-faith negotiation. If negotiation fails, disputes shall be resolved in the courts of the United Arab Emirates as specified in Section 14.2.

15. Severability #

If any provision of these Terms and Conditions is found to be invalid, illegal, or unenforceable, such provision shall be modified to the minimum extent necessary to make it enforceable, or if not possible, severed from these Terms and Conditions. The remaining provisions shall continue in full force and effect.

16. Entire agreement #

These Terms and Conditions, together with any additional terms published on FIBERME websites, constitute the entire agreement between you and FIBERME regarding your use of FIBERME products and services. These Terms and Conditions supersede any prior agreements, understandings, or negotiations, whether oral or written.

1. Policy overview #

This Acceptable Use Policy (“Policy”) establishes guidelines for acceptable use of FIBERME products, services, websites, and infrastructure. All customers, users, and authorized representatives agree to comply with this Policy as a condition of accessing and using FIBERME’s offerings.

Any use of FIBERME products or services in violation of this Policy may result in immediate suspension or termination of service, legal action, or both. FIBERME reserves the right to investigate suspected violations and take appropriate remedial action.

2. Prohibited activities #

Users and customers are strictly prohibited from:

2.1 Illegal Activities

  • Using FIBERME services to commit any crime or offense under applicable law
  • Facilitating human trafficking, sexual exploitation, or child abuse
  • Distributing or possessing illegal materials
  • Conducting fraud, identity theft, or financial crimes
  • Money laundering or sanctions evasion
  • Violating export control regulations
  • Breaching intellectual property laws
  • Committing any other illegal act

2.2 Security and Access Violations

  • Unauthorized access to FIBERME systems, networks, or infrastructure
  • Attempting to bypass security controls, firewalls, or authentication mechanisms
  • Deploying malware, viruses, worms, trojan horses, or other malicious code
  • Conducting “brute force” attacks, password cracking, or credential theft
  • Exploiting software vulnerabilities or security flaws
  • Port scanning, network reconnaissance, or vulnerability assessment without authorization
  • Intercepting or eavesdropping on network traffic
  • Reverse-engineering FIBERME software or systems
  • Circumventing license restrictions or digital rights management

2.3 Abusive and Threatening Conduct

  • Harassment, threats, intimidation, or bullying of other users or FIBERME personnel
  • Hateful speech, discrimination, or doxing based on protected characteristics
  • Stalking or surveillance of individuals
  • Posting obscene, defamatory, or libelous content
  • Creating hostile, hostile, or abusive communication environments
  • Threatening violence against individuals or organizations

2.4 Spam and Unwanted Communications

  • Sending unsolicited bulk email, SMS, or other messages (spam)
  • Phishing, social engineering, or deceptive communications
  • Using FIBERME services to conduct spam campaigns
  • Creating or distributing email lists without proper consent
  • Spoofing sender identification or headers
  • Impersonating individuals or organizations without authorization

2.5 Abuse of Infrastructure

  • Denial-of-service (DoS) attacks, distributed denial-of-service (DDoS) attacks, or similar disruption attacks
  • Consuming excessive bandwidth or computing resources
  • Creating resource-exhaustion scenarios that degrade service for other users
  • Using bots or automated scripts that generate excessive traffic
  • Operating open proxies or relay services
  • Hosting, distributing, or facilitating peer-to-peer file sharing without authorization

2.6 Intellectual Property Violations

  • Copyright infringement or unauthorized distribution of copyrighted materials
  • Trademark infringement or unauthorized use of protected marks
  • Trade secret misappropriation
  • Patent infringement
  • Violating open-source software licenses
  • Distributing licensed software without proper authorization

2.7 Content Violations

  • Hosting, distributing, or facilitating access to child sexual abuse material (CSAM)
  • Distributing content that violates laws in any jurisdiction where accessed
  • Posting content promoting illegal activities
  • Operating unauthorized gambling, lottery, or sweepstakes services
  • Distributing counterfeit goods or services
  • Facilitating piracy or unauthorized content distribution

2.8 Business Practice Violations

  • Reselling FIBERME services or redistributing service access without authorization
  • Attempting to reverse-engineer service architecture or infrastructure
  • Using FIBERME services to compete with FIBERME’s legitimate business
  • Transferring service accounts or subscriptions to unauthorized parties
  • Manipulating service metrics or usage data
  • Creating secondary accounts to circumvent limitations or bypass terms

2.9 Regulatory Violations

  • Violating export control regulations or sanctions programs
  • Evading taxation or tax compliance requirements
  • Violating anti-bribery or anti-corruption laws
  • Conducting unregistered financial services
  • Violating data protection or privacy regulations
  • Operating unlicensed professional services

3. Service-specific prohibitions #

3.1 FRC (FIBERME Remote Connect) Misuse

  • Using FRC for purposes other than authorized business remote access
  • Sharing FRC credentials or access with unauthorized parties
  • Attempting to reverse-engineer FRC infrastructure or security mechanisms
  • Exceeding allocated concurrent call limits through deceptive means
  • Using FRC for gambling, illegal surveillance, or other unlawful purposes
  • Generating excessive traffic that degrades service for other users

3.2 FCM Soft Misuse

  • Installing or operating FCM Soft on more than the authorized number of devices or VMs
  • Sharing FCM Soft licenses or subscriptions with non-authorized entities
  • Attempting to extract, copy, or reverse-engineer FCM Soft source code
  • Operating FCM Soft on compromised systems or for unauthorized purposes
  • Circumventing FCM Soft limitations through hacking or modification
  • Using FCM Soft to facilitate illegal telecommunications

3.3 SWai (AI Service) Misuse

  • Using SWai for illegal activities, threats, or harassment
  • Generating SWai-created content for fraud, deception, or impersonation
  • Using SWai to generate CSAM or illegal content
  • Exceeding SWai minute allocations through manipulation
  • Sharing SWai credentials or access with unauthorized parties
  • Using SWai content in violation of intellectual property rights

3.4 NEXUSAGE Misuse

  • Installing NEXUSAGE on systems without proper authorization
  • Sharing NEXUSAGE subscriptions or credentials with unauthorized parties
  • Using NEXUSAGE to connect non-compliant or insecure SIP infrastructure
  • Exceeding NEXUSAGE concurrent call limits through deceptive means
  • Using NEXUSAGE to facilitate illegal telecommunications or fraud

4. Enforcement and remedies #

4.1 Monitoring and Investigation

FIBERME reserves the right to:

  • Monitor service usage and network traffic for compliance with this Policy
  • Conduct investigations into suspected policy violations
  • Inspect data transmitted through FIBERME services when necessary for security or legal compliance
  • Preserve evidence of violations for legal proceedings
  • Cooperate with law enforcement investigations

4.2 Corrective Actions

Upon detection of a violation, FIBERME may:

  • Warn: Issue written warning of policy violation and demand compliance
  • Suspend: Immediately suspend service access pending investigation
  • Terminate: Permanently terminate service and customer account
  • Throttle: Reduce bandwidth or service quality to mitigate abuse
  • Filter: Block or filter specific content or traffic
  • Legal Action: Pursue civil or criminal legal proceedings

4.3 Emergency Suspension

FIBERME may immediately suspend service without notice or investigation period when FIBERME reasonably believes:

  • The violation poses imminent risk to security, safety, or service availability
  • The violation involves illegal activity
  • Continued service would expose FIBERME to legal liability
  • The violation threatens other customers or users

4.4 No Liability for Enforcement

FIBERME is not liable for any damages, losses, or costs resulting from enforcement actions, service suspension, or account termination. All enforcement decisions are within FIBERME’s sole discretion.

4.5 Refunds

No refunds or credits will be issued for accounts suspended or terminated due to policy violations, including:

  • Unused service minutes or allowances
  • Prepaid subscription periods
  • Service fees paid prior to suspension

5. Prohibited content and materials #

5.1 Illegal Content

Users must not transmit, store, host, or distribute:

  • Content that is illegal in any jurisdiction where FIBERME operates or the jurisdiction of the user
  • Weapons manufacturing instructions
  • Illegal drug manufacturing or distribution content
  • Counterfeit currency or financial instruments
  • Stolen property or goods
  • Stolen intellectual property
  • Hacking tools or exploit code (except for authorized security research)

5.2 Harmful and Violent Content

Users must not create, distribute, or facilitate:

  • Content promoting violence, terrorism, or extremism
  • Content glorifying self-harm or suicide
  • Instructions for weapons creation or use
  • Content that could reasonably incite violence or criminal activity
  • Graphic depictions of violence or gore (except in narrowly-defined educational or historical contexts)

5.3 Exploitative Content

Users must not transmit, store, host, distribute, or facilitate access to:

  • Child sexual abuse material (CSAM) or content sexualizing minors
  • Revenge pornography or non-consensual intimate images
  • Human trafficking content
  • Sexual exploitation materials
  • Deepfake pornography or similarly deceptive sexual content

5.4 Deceptive and Fraudulent Content

Users must not:

  • Create fake or impersonated accounts
  • Misrepresent identity, affiliation, or credentials
  • Solicit through deception or fraud
  • Create content impersonating individuals or organizations
  • Distribute misinformation or disinformation campaigns
  • Engage in credit card fraud or financial fraud
  • Conduct academic fraud or plagiarism

6. Network and infrastructure abuse #

6.1 Resource Abuse

Users must not:

  • Consume excessive bandwidth that degrades service for others
  • Launch denial-of-service attacks
  • Send unsolicited or bulk messages
  • Use automated tools to scrape or extract FIBERME data
  • Create distributed networks or botnets
  • Perform network reconnaissance without authorization
  • Generate intentionally malformed traffic

6.2 System Compromise

Users must not:

  • Knowingly operate compromised or infected systems
  • Distribute malware through FIBERME infrastructure
  • Use FIBERME systems as a platform for attacking external systems
  • Host or distribute malware, exploits, or hacking tools
  • Participate in organized hacking or cybercrime campaigns
  • Resell or redistribute access to compromised systems

7. Compliance with laws #

7.1 Applicable Laws

All use of FIBERME services must comply with:

  • Laws of the jurisdiction where the user is located
  • Laws of the jurisdiction where services are accessed or utilized
  • Laws of the jurisdiction where FIBERME operates
  • International laws and agreements (export controls, sanctions, etc.)
  • Sector-specific regulations (financial services, healthcare, telecommunications, etc.)

7.2 Sanctions and Export Controls

Users must not use FIBERME services if:

  • The user, their organization, or intended beneficiary is subject to sanctions
  • The use would violate export controls or sanctions administered by the US, EU, UN, or other authorities
  • The user is located in a jurisdiction subject to comprehensive sanctions

FIBERME maintains sanctions screening procedures and may terminate accounts suspected of sanctions violations.

7.3 Data Protection Compliance

Users must comply with applicable data protection regulations, including:

  • General Data Protection Regulation (GDPR)
  • California Consumer Privacy Act (CCPA)
  • Other local data protection and privacy laws

Users must not:

  • Transmit Personal Data in violation of data protection laws
  • Fail to obtain necessary consents before processing Personal Data
  • Expose Personal Data through inadequate security measures
  • Use FIBERME services to conduct unauthorized surveillance
  • Maintain inappropriate data retention practices

8. User responsibility #

8.1 Account Security

Users are responsible for:

  • Maintaining confidentiality of account credentials
  • Securing devices and network connections
  • Promptly notifying FIBERME of unauthorized account access
  • Reviewing account activity for suspicious transactions
  • Using strong, unique passwords
  • Enabling multi-factor authentication where available
  • Not sharing credentials with unauthorized parties

8.2 Service Configuration

Users are responsible for:

  • Configuring services securely
  • Applying available security updates and patches
  • Monitoring for suspicious activity
  • Backing up critical data
  • Maintaining appropriate disaster recovery procedures
  • Complying with system requirements and recommendations

8.3 Content Responsibility

Users are fully responsible for:

  • All content transmitted through FIBERME services
  • Ensuring content compliance with applicable laws
  • Obtaining necessary rights and licenses
  • Not violating third-party intellectual property rights
  • Securing content against unauthorized access

9. Reporting violations #

9.1 Reporting Mechanism

Users may report suspected policy violations by:

9.2 Report Content

Reports should include:

  • Description of the violation
  • Account or user involved (if known)
  • Date and time of violation
  • Evidence or supporting documentation

9.3 Investigation Process

FIBERME will:

  • Acknowledge receipt of reports within 5 business days
  • Investigate reports in accordance with this Policy
  • Take appropriate corrective action if violation is confirmed
  • Maintain confidentiality of reporter identity where legally permitted
  • Not retaliate against individuals reporting violations in good faith

10. Child safety #

10.1 CSAM and Child Exploitation

FIBERME has zero tolerance for child sexual abuse material (CSAM) and child exploitation. FIBERME:

  • Actively monitors for CSAM and exploitation content
  • Removes violative content immediately upon discovery
  • Terminates accounts of offenders without refund
  • Reports CSAM and related crimes to the National Center for Missing & Exploited Children (NCMEC) and law enforcement
  • Preserves evidence for law enforcement investigation

10.2 Age Restrictions

Users must be at least 18 years of age to use FIBERME services. Users under 18 must not:

  • Create FIBERME accounts or use services
  • Access adult-oriented content
  • Provide personal information to FIBERME

12. Policy modifications #

FIBERME reserves the right to modify this Acceptable Use Policy at any time without notice. Material modifications will be communicated to affected users. Continued use of FIBERME services following policy modifications constitutes acceptance of updated terms.
