MASTER TERMS & CONDITIONS (GLOBAL AGREEMENT)

Effective Date: April 10, 2026

These Master Terms & Conditions (“Agreement”) constitute a legally binding agreement between FIBERME Communications LLC (“FIBERME”, “Company”, “we”, “us”) and any individual or entity (“User”, “Customer”, “you”) accessing or using any FIBERME services.

This Agreement governs all services, platforms, software, and infrastructure provided by FIBERME.


1. SCOPE OF AGREEMENT

This Agreement applies to all FIBERME services, including but not limited to:

  • www.fiberme.com
  • www.fiberme.cloud
  • all subdomains thereof
  • FRC (FIBERME Remote Connect)
  • SWING and SWING Lite applications
  • NEXUSAGE software
  • all VoIP, SIP, and cloud telecom services
  • APIs, dashboards, portals, and integrations

By using any FIBERME service, you agree to be bound by this Agreement.


2. KEY LEGAL POSITION

2.1 All services are provided strictly on an “AS IS” and “AS AVAILABLE” basis.

2.2 FIBERME makes no warranties of any kind, including but not limited to uptime, performance, compatibility, or uninterrupted availability.

2.3 FIBERME reserves the absolute right, at its sole discretion and at any time, to:

  • modify, suspend, or discontinue any service or feature
  • restrict or terminate user access
  • block accounts without notice or reason

3. PRIVACY & DATA POLICY

3.1 FIBERME may collect technical, operational, and usage data including:

  • email address and account information
  • Call Detail Records (CDR)
  • IP addresses and device information
  • software usage analytics and logs

3.2 Data is used solely for:

  • service delivery and operation
  • billing and account management
  • fraud prevention and security
  • system optimization and compliance

3.3 FIBERME does NOT sell user data to any third party.


4. MARKETING CONSENT

By using FIBERME services, you expressly agree that:

  • FIBERME may use your email address for marketing, promotional, and service-related communications
  • You may receive product updates, offers, and technical notifications

5. ACCEPTABLE USE POLICY (AUP)

Users agree not to use FIBERME services for any unlawful, abusive, or prohibited activities, including but not limited to:

  • spam or unsolicited communications
  • fraud, phishing, or deception
  • CLI spoofing or manipulation
  • VoIP bypass fraud
  • SIM box or GSM gateway abuse
  • IRSF (International Revenue Share Fraud)
  • traffic pumping or artificial call generation
  • unauthorized interception or monitoring
  • malware, hacking, or intrusion attempts

5.1 Telecom Abuse Prohibition

Strictly prohibited activities include:

  • artificial traffic inflation
  • premium number abuse
  • unauthorized routing or termination
  • bulk unsolicited VoIP traffic

5.2 Enforcement

FIBERME reserves the right to:

  • immediately suspend or terminate accounts
  • block SIP trunks, IPs, or destinations globally
  • permanently restrict service access

6. BILLING & SUBSCRIPTION TERMS

6.1 All payments are made directly to FIBERME Communications LLC.
6.2 No third-party payment provider governs billing logic or service entitlement.

6.3 FIBERME reserves the right to:

  • modify pricing at any time
  • change subscription plans or billing structures
  • introduce new fees or usage models

6.4 Usage records and system logs are final, binding, and conclusive.


7. NO REFUND POLICY

ALL PAYMENTS ARE FINAL AND NON-REFUNDABLE.

No refunds, credits, or compensation shall be provided under any circumstances, including but not limited to:

  • service suspension
  • account termination
  • feature removal or modification
  • service unavailability

8. FRC SLA (FIBERME REMOTE CONNECT)

8.1 FRC is designed with a target uptime of 99%, measured on a monthly basis.

8.2 This uptime is a target only and not a legally binding guarantee.

8.3 FIBERME shall not be liable for any:

  • service outages
  • latency or delays
  • call failures or interruptions
  • carrier or network disruptions

8.4 No compensation, credits, or refunds shall be provided for any downtime.


9. FRC SERVICE POLICY

9.1 FRC is a cloud-based VoIP and SIP connectivity platform.

9.2 FIBERME may provide free services including:

  • free calls
  • trial usage
  • promotional credits or features

9.3 FIBERME reserves the absolute right to:

  • modify or discontinue free services at any time
  • restrict or remove features without notice
  • terminate free access permanently

10. SOFTWARE LICENSE TERMS

10.1 SWING / SWING LITE

  • Free to download, install, and use (limited features)
  • Licensed on a non-exclusive, non-transferable basis

FIBERME may at any time:

  • update, modify, or remove features
  • disable or discontinue software
  • restrict access per user or globally

No warranty is provided for performance, uptime, or compatibility.


10.2 NEXUSAGE SOFTWARE

  • Free base version with optional paid advanced features

FIBERME may:

  • modify functionality at any time
  • disable features or services
  • discontinue the software entirely

Free FRC-related benefits may be revoked at any time without notice.


11. ACCOUNT MANAGEMENT (FIBERME.CLOUD)

11.1 Free account registration may be provided.

11.2 FIBERME reserves the right to:

  • suspend or terminate accounts at any time
  • block users without notice or justification
  • restrict access to any service or feature

11.3 No compensation shall be provided for account loss or restriction.


12. PROJECT PROTECTION SYSTEM

FIBERME may operate a project management and protection system via fiberme.cloud.

FIBERME reserves full discretion to:

  • accept or reject any project
  • cancel or modify projects at any time
  • block or suspend users
  • terminate accounts without explanation

13. TELECOM COMPLIANCE & FRAUD CONTROL

FIBERME enforces strict telecom compliance measures including:

  • fraud detection and monitoring
  • SIP anomaly detection systems
  • traffic pattern analysis
  • global abuse prevention mechanisms

FIBERME may report any suspicious or illegal activity to:

  • telecom operators
  • regulatory authorities
  • law enforcement agencies

14. GLOBAL SERVICE CONTROL RIGHTS

FIBERME reserves full global control rights to:

  • modify or discontinue any service or software
  • restrict services by country or region
  • suspend or terminate access at any time
  • change features, functionality, or availability without notice

15. LIMITATION OF LIABILITY

To the maximum extent permitted by law, FIBERME shall not be liable for any:

  • business or revenue loss
  • data loss or corruption
  • service interruption or failure
  • communication errors
  • indirect, incidental, or consequential damages
  • third-party carrier or network failures

16. INTELLECTUAL PROPERTY

All software, systems, infrastructure, branding, and technology remain the exclusive property of FIBERME Communications LLC.

No rights are granted except those explicitly stated in this Agreement.


17. GOVERNING LAW

This Agreement shall be governed by and construed in accordance with the laws of the United States of America, and optionally the State of Delaware, without regard to conflict of law principles.

All disputes shall be exclusively resolved in the courts of the United States.


18. MODIFICATION OF TERMS

FIBERME reserves the right to modify, update, or replace this Agreement at any time without prior notice.

Continued use of any FIBERME service constitutes full acceptance of the updated Terms.


FINAL ACKNOWLEDGEMENT

By accessing or using any FIBERME service, you acknowledge that:

  • services may be modified or discontinued at any time
  • accounts may be suspended without notice
  • free services are not guaranteed
  • use is at your own risk
  • FIBERME maintains full operational control over all system
